RALLY Terms of Use

Effective Date: February 13, 2026

Welcome to Rally, a social media application operated by Entersquare LLC (“Rally,” “we,” “our,” or “us”).

These Terms of Use (“Terms”) govern your access to and use of the Rally mobile application, website, and related services (collectively, the “Services”).

By downloading, accessing, creating an account, or using Rally, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account or using Rally, you affirm that you are at least 13 years old and capable of entering into a legally binding agreement. If you are under 18, you confirm that you have your parent or guardian’s consent to use Rally.

2. User Accounts

To access certain features, you must create an account.

  • You agree to:

    • Provide accurate and complete registration information

    • Keep your login credentials secure

    • Notify us immediately of unauthorized account access

    You may not impersonate others or access another user’s account without permission.

3. Username Reservation and Impersonation Policy

When you create an account, you may choose a username or handle. You agree that:

  • Usernames are provided on a first-come, first-served basis, but do not confer ownership rights.

  • You may not select a username that falsely suggests affiliation with or impersonation of another individual, business, brand, or public figure.

Rally reserves the right, in its sole discretion, to:

  • Remove, reclaim, or reassign usernames

  • Require a user to change their username at any time

  • Suspend or terminate accounts engaged in impersonation or misleading identity practices

This includes situations where a username is reasonably believed to infringe another person’s name, trademark, reputation, or identity (for example, registering “@tomcruise” without being the public figure Tom Cruise).

Reserved Usernames

Rally may also reserve usernames for public figures, brands, verified users, or other purposes, even if such usernames are not currently in use.

You agree that Rally is not liable for any inconvenience, loss, or damages arising from the removal, reassignment, or reservation of a username.

4. User Content

Rally allows users to upload videos, images, comments, direct messages, and other content (“User Content”).

Ownership

You retain ownership of your User Content.

License to Rally

By uploading or sharing User Content, you grant Rally a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, distribute, and make your content available within the Services solely for the purpose of operating and improving Rally.

5. Prohibited Content and Moderation

You may not upload or share content that:

  • Is unlawful or promotes illegal activity

  • Contains threats of physical violence or intimidation

  • Constitutes targeted harassment, stalking, or bullying

  • Is defamatory or knowingly false

  • Is obscene or sexually exploitative

  • Infringes intellectual property rights

  • Contains malware or attempts to disrupt the Services

Rally may remove, restrict, or limit distribution of content that violates these Terms or interferes with the safety, integrity, or proper functioning of the platform.

Rally also reserves the right to remove or restrict content or accounts that, in its reasonable judgment, create risk, harm, or disruption to users, the Services, or the Rally community.

Rally may also use third-party moderation providers to enforce platform rules.

6. App Features and User Interactions

Feed and Leaderboard

Rally provides a real-time feed of followed users’ posts and may display a leaderboard featuring popular or highly viewed content. Content surfaced in the feed or leaderboard must comply with these Terms, and Rally may remove or limit distribution of content at its discretion.

User Interactions

Users may follow/unfollow, block/unblock, send messages, comment, like, share posts, and tag others. Misuse of these features—including spamming, harassment, stalking, impersonation, or other abusive conduct—may result in restrictions, suspension, or termination.

Content Specifications

Video uploads must adhere to a 9:16 format (1080×1920) with a 60-second maximum duration. Images may be displayed within a 9:16 frame. Rally may update these specifications from time to time.

7. Prohibited Activities

You agree not to:

  • Use Rally for unlawful purposes

  • Reverse-engineer or disrupt the Services

  • Exploit Rally commercially without authorization

  • Upload viruses or harmful code

  • Interfere with other users’ safety or access

8. Third-Party Integrations

Rally may allow connections to third-party platforms (e.g., TikTok, YouTube, Instagram, X).

If you connect a third-party service, Rally may receive basic account information consistent with the third party’s policies.

Rally is not responsible for third-party services.

9. Payments and Verification

Rally may offer optional paid features or account verification services.

If you choose to purchase any paid features, you agree to provide accurate billing information and authorize us (and/or our payment processors) to charge applicable fees. All purchases are subject to additional terms presented at the time of purchase.

10. Privacy

Your use of Rally is governed by our Privacy Policy, which is incorporated into these Terms.

If you do not agree with the Privacy Policy, you may not use the Services.

11. Intellectual Property

All Rally branding, software, design, and features are owned by Entersquare LLC or its licensors.

You may not copy, modify, distribute, sell, or create derivative works without written permission.

12. Termination

We may suspend or terminate your account if you violate these Terms.

You may delete your account at any time through app settings, subject to data retention obligations.

13. Disclaimer of Warranties

Rally is provided “as is” and “as available.”

We make no guarantees that the Services will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, Entersquare LLC is not liable for indirect, incidental, consequential, or punitive damages arising from your use of Rally or User Content.

15. Indemnification

You agree to indemnify and hold harmless Entersquare LLC and its affiliates from any claims arising out of:

  • Your use of Rally

  • Your User Content

  • Violations of these Terms

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

Any disputes will be resolved through binding arbitration in Columbia, Tennessee, unless prohibited by law.

17. Updates to These Terms

We may update these Terms from time to time. Continued use of Rally after updates constitutes acceptance of the revised Terms.
